Jury Awards Large Commission in Commercial Property Dispute

One of the largest jury verdicts awarding a brokerage commission in Arizona history was recently awarded from a commercial property dispute. A Scottsdale real estate agent was awarded a commission of $420,000 against a brokerage firm who had listed a large office building in north Scottsdale in this.

The facts are as follows:ws:

A brokerage firm named Cavan Commercial LLC (“Cavan Commercial”) had a 6% listing agreement on a large office building in north Scottsdale. Cavan Commercial and a real estate agent named Chris Wyatt entered into a 3% co-brokerage agreement if Chris Wyatt’s client Buyer A purchased the office building. Four days later Buyer A signed a purchase contract to purchase the office building for $14,000,000. The $100,000 earnest money was paid 1/3 ($33,000) each by Buyer A and his two investor partners who Chris Wyatt had introduced to the designated broker of Cavan Commercial at a meeting three months earlier in Cavan Commercial’s offices.

A few days after the Purchase Contract had been signed by Buyer A, Buyer A and his two investor partners formed a limited liability company (“LLC”), and assigned the purchase contract from Buyer A to this LLC. Buyer A and his two partners subsequently got in a dispute, and Buyer A agreed to transfer his membership interest in the LLC to his two investor partners.

For Section 1031 tax purposes, at the time of closing the LLC assigned the purchase contract to the two investor partners as individuals. The transaction closed. Immediately after the transaction closed, the two investor partners transferred the title to the office building back to the LLC.

Although the escrow commission instructions at closing prepared by the title company provided for a 3% commission to Chris Wyatt, this provision for Chris Wyatt’s 3% commission was crossed out by Cavan Commercial, who revised the escrow commission instructions to provide for the entire 6% commission ($840,000) to be paid to Cavan Commercial.

When Chris Wyatt complained and requested his 3% commission, the designated broker for Cavan Commercial said -Sue me.- Chris Wyatt did. Almost four years to the day after Chris Wyatt had introduced Buyer A and his two investor partners to the designated broker of Cavan Commercial, the commission dispute was tried before a jury in Maricopa County Superior Court. After a three-day jury trial, the jury deliberated less than one hour and awarded the entire 3% commission of $420,000 to Chris Wyatt. (Wyatt v. Cavan Commercial, LLC; CV2006-01270; Jury verdict November 14, 2008.)

Chris Wyatt was represented at the jury trial by John Skiba, with assistance from Chris Combs and litigation paralegal Lisa O’Brien. Don Martin, a former president of the Arizona Association of REALTORS, testified as an expert witness on behalf of Chris Wyatt. Cavan Commercial (renamed Logan Commercial LLC prior to the setting of the trial date) was represented by two lawyers from a national law firm.

Note: During the questioning of prospective jurors before the trial began, one of the prospective jurors was a real estate agent, and in response to questioning from Cavan Commercial’s lawyer, the real estate agent said that she did not know if she could be fair because she was tired of seeing real estate agents being “cheated” out of their commissions. Although she was honest, she was immediately excused as a juror!

How long have you been agent and how did you get your start Eddie?

I am a literary manager/producer. I will have been at my current company for 5 years in June 2009. I first worked for Nickelodeon Home Video as the Executive Assistant and then became a Legal Assistant for Viacom Litigation back in the mid-90s while I was getting my MA in Cinema Studies from NYUs Tisch School for the Arts. I left the Biz and went to Emory and did a PhD in psychoanalysis and film from the Graduate Institute of Liberal Arts. I stayed on as a Visiting Assistant Professor but then missed the Biz so much I headed west with no job in 2003. I landed an assistant gig at Alloy (Gossip Girl, Sisterhood of the Traveling Pants) but moved to The Gotham Group in 2004.

What makes your agency different than any others?

The company was founded over 15 years ago and specialized in repping folks who worked in TV animation. Nowadays we cover writers, directors, authors, artists, publishers and animation studio who in all genres, all demographics and all media. What are you looking for specifically that you wish you would see more of?

Laugh out loud comedy scripts. They are the hardest thing to find.

Their writing should pop. It should be well-written and clean. I was a professor so it always kills me when I read poorly written and sloppy work. It should be commercial but fresh.

How can a signed writer stay in your radar without driving you insane?
Not sure what you mean by a signed writer.

What do you wish more writers understood about you as an agent Eddie that they don’t seem to?
As a manager, I wish more writers understood the fiscal and legal machinations of the industry. I wish they understood that we read tens of thousands of pages a year and that current clients/deals always have to take priority, so the review & response process can be terribly slow. Writers should also research thoroughly the nature of the company to which they are reaching out. Dont pitch a horror to a company that does comedy.

What’s the best way for a writer to reach you?
By referral. Cold calls and submissions get dumped immediately. There are valid legal reasons for this. We work in the field of intellectual property and writers should never just send out their ideas willy nilly. We need an exec, an agent, a lawyer or a current client to refer folks to us.

In cases where certain anti avoidance provisions or optimal tax planning contingencies require a physical presence, a basic RAK Free Zone entity (flexi desk or flexi-office facility) can easily be established and can be wholly owned by the International Company affording a high degree of flexibility and confidentiality together with a physical presence, as well as the opportunity to procure visas for designated officials. If desired, a bona fide local business activity can be established through the acquisition of an appropriate business licence. Local management and control can also be asserted through the appointment of a corporate director in the UAE.

Although all UAE companies must abide by UAE law, RAK ICs can choose which legal system should be applied for resolving inheritance issues, commercial disputes, and any other legal matter. .

Flexibility is evidenced in the ability to tailor the memorandum and articles of association of a RAK IC to suit specific needs, including the citing of the preferred legal convention, whether it is common law, civil law, Sharia or Hindu succession law etc and also the issuance of multiple classes of shares, including custodian shares and restricted bearer shares.
